Pacira BioSciences to Be Acquired by Viatris in $36.50-Per-Share All-Cash Tender Offer

Pacira BioSciences entered into an Agreement and Plan of Merger with Viatris for an all-cash tender offer of $36.50 per share. The offer is conditioned on a majority of shares being tendered and HSR clearance, followed by a short-form merger under DGCL 251(h) with no shareholder vote.
